Channel Partner Terms of Use
These Channel Partner Terms of Use ("Terms") are between Life on Life LLC, a limited liability company existing under the laws of Delaware ("Licensor"), and the organisation accepting these Terms ("Partner"). These Terms govern the Partner's establishment and operation of one or more channels on the software application called 115.1 ("App"). For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows.
By accepting the administrator role for one or more channels on the App, the Partner agrees to be bound by these Terms. If the Partner does not agree, it must not accept or exercise the administrator role.
1. Certain Definitions
In addition to terms defined elsewhere in these Terms, the following definitions shall apply. Whenever used in these Terms with an initial capital letter, the terms defined elsewhere in these Terms and in this clause 1, whether used in the singular or the plural, will have the meanings specified below.
1.1 "App" means the mobile software application called 115.1.
1.2 "Platform" means the App together with all related services, content, infrastructure and backend administration tools operated by Licensor.
1.3 "Partner" means the organisation that has been approved by Licensor to establish and operate one or more channels on the App, and which has accepted these Terms through an authorised representative.
1.4 "Great Commission" means the instruction given by Jesus Christ as recorded in Matthew 28:19–20 to make disciples of all nations, baptising them in the name of the Father and of the Son and of the Holy Spirit, and teaching them to obey everything He has commanded.
1.5 "DPA" means the 115.1 Channel Partner Data Protection Addendum available at https://115one.app/dpa, which governs the processing of personal data in connection with the Platform.
1.6 "Statement of Faith" means the Life on Life Statement of Faith available at https://115one.app/statement-of-faith.
1.7 "Community Ground Rules" means the 115.1 community ground rules available at https://115one.app/faq/ground-rules.
2. The App
2.1 Licensor owns and operates the Platform. The App is an invite-only, disciple-making communication platform on which access is restricted to approved organisations and their invited members.
2.2 Licensor reserves the right to approve or decline any partner application at its sole discretion, without obligation to provide reasons. Licensor will notify applicants of its decision within a reasonable time of receiving a completed application.
2.3 Licensor reserves the right to modify any aspect of the Platform at any time. Where Licensor intends to suspend or discontinue the Platform entirely, it will provide Partners with not less than 30 days' prior written notice, except where suspension is necessary to protect the security or integrity of the Platform, in which case Licensor will notify Partners as soon as reasonably practicable.
2.4 The App's terms of service, available at https://115one.app/terms, apply to all users of the App including channel administrators. In the event of any conflict between these Terms and the App's terms of service, these Terms shall prevail in respect of the Partner's obligations as a channel administrator.
3. Mission and Vision
3.1 The mission of the App is to bring Glory to God by providing a secure communication platform for frontline disciple makers to share with others what Jesus is doing in their ministry. The App serves three groups, as set out in sub-clauses 3.1.1 to 3.1.3 below. In all cases, the App exists to enable stories of faith to be shared and movements to multiply, while keeping user data safe and free from the risks of de-platforming or persecution.
3.1.1 Movement leaders. The App helps movement leaders maintain real-time visibility of field activity across their networks. It replaces fragmented spreadsheets and insecure messaging tools with a single, organised space to receive field updates, track stories, mobilise prayer and support, and reduce the administrative burden of leading a growing movement.
3.1.2 Disciple makers. The App provides disciple makers with a trusted, distraction-free space to share what God is doing, request prayer, find community with others around the world, and stay connected to a global body of believers beyond their local context.
3.1.3 Prayer intercessors. The App provides prayer intercessors with timely, unfiltered prayer needs directly from the field, the ability to focus on the regions, people groups and causes they feel most led to pray for, and visibility of how their prayers contribute to disciple-making activity worldwide.
3.2 By accepting the administrator role for one or more channels on the App, the Partner confirms that its organisation shares this mission and vision, and that its use of the App and the content it publishes or facilitates through its channel will be consistent with it.
3.3 The Partner agrees not to use the App for any purpose that is inconsistent with, contrary to, or materially damaging to the mission and vision of the App. Where Licensor reasonably considers that a Partner's use falls outside this mission, it will notify the Partner and allow a reasonable opportunity to remedy the situation before taking action under clause 9.
3.4 A Partner's channel may serve one or more of the user groups described in clause 3.1. Partners are not required to serve all three groups, but must ensure their use of the App is consistent with the mission described in clause 3.1 in respect of whichever group or groups their channel serves.
4. Statement of Faith
4.1 By accepting the administrator role for one or more channels on the App, the Partner confirms that its organisation affirms the core beliefs set out in the Statement of Faith as a condition of accessing the App.
4.2 The Partner agrees not to publish, share or facilitate content through its channel that contradicts or undermines the Statement of Faith.
4.3 Licensor reserves the right to remove content or suspend a channel where, in its reasonable opinion, the Partner's use of the App is inconsistent with the Statement of Faith.
4.4 Licensor reserves the right to request, no more than once per calendar year, that a Partner reconfirms its organisation's affirmation of the Statement of Faith. Where a Partner is unable or unwilling to reconfirm, Licensor may treat this as a material breach and act in accordance with clause 9.3.
5. Data Protection
5.1 The Partner's use of the Platform is subject to the DPA, which governs the processing of personal data in connection with the Platform.
5.2 By accepting the administrator role for one or more channels on the App, the Partner agrees to be bound by the DPA. In the event of any conflict between these Terms and the DPA on data protection matters, the DPA shall prevail.
6. Acceptable Use
6.1 The Partner agrees to use the App only for its intended purpose of disciple-making communication and ministry collaboration.
6.2 The Partner shall not use the App to:
(a) publish content that is unlawful, harmful, abusive, hateful, or discriminatory;
(b) harass, threaten or intimidate any user;
(c) share content that infringes the intellectual property rights of any third party;
(d) distribute spam, malware or any other malicious content;
(e) engage in any commercial activity not approved in writing by Licensor; or
(f) misrepresent the Partner's identity, affiliation or doctrinal position.
6.3 The Partner is responsible for the conduct of individuals it invites to join the App through its channel. Before extending invitations, the Partner shall take reasonable steps to ensure prospective members understand the App's purpose and acceptable use standards. The Partner shall promptly investigate and address any reported breach by a member of its channel and shall notify Licensor if it becomes aware of any serious or repeated breach. Licensor acknowledges that the Partner cannot guarantee the conduct of individual members and that responsibility for a member's breach will not automatically transfer to the Partner where the Partner has acted in good faith.
6.4 The Partner shall adhere to, and shall take reasonable steps to ensure that members of its channel adhere to, the Community Ground Rules. A material or repeated breach of the Community Ground Rules by the Partner, or a pattern of breaches by members of the Partner's channel that the Partner has failed to address, shall constitute grounds for action under clause 9.3.
7. Partner Collaboration and Feedback
7.1 The Partner acknowledges that the Platform is under active development and that feedback from Partners is essential to its continued improvement. The Partner agrees to:
(a) promptly report to Licensor any bugs, errors, security concerns or significant usability issues that the Partner becomes aware of through normal use of the Platform;
(b) participate in a quarterly Partner feedback review, the format of which will be determined by Licensor but may include a structured interview, written survey, or scheduled call of no more than 60 minutes; and
(c) provide constructive feedback on proposed features, design changes or roadmap items where Licensor seeks the Partner's input, where reasonably practicable.
7.2 Licensor will give the Partner at least 30 days' notice of each quarterly feedback review. Where the Partner is unable to participate in the scheduled review, Licensor and the Partner will agree an alternative date within a reasonable period. Failure to engage in two consecutive quarterly reviews without good reason may, at Licensor's discretion, be treated as a material breach of these Terms.
7.3 The Partner shall act as the first-line point of contact for support enquiries from members of its channel. The Partner shall use reasonable efforts to respond to such enquiries promptly and to resolve issues that can be addressed at the channel level (including questions about channel access, content moderation, and use of channel features). The Partner shall escalate to Licensor any issues that:
(a) relate to bugs, errors or security concerns affecting the Platform;
(b) cannot reasonably be resolved by the Partner; or
(c) concern matters outside the Partner's channel.
7.4 Licensor will provide reasonable support to the Partner in its first-line support role, including documentation, escalation channels, and access to relevant Licensor personnel where appropriate. Licensor is not obliged to provide direct support to individual members of the Partner's channel except where escalated by the Partner under clause 7.3.
7.5 Any feedback, suggestions or ideas provided by the Partner under this section may be used by Licensor without restriction or obligation to compensate the Partner. The Partner waives any claim to intellectual property in such feedback, but nothing in this section grants Licensor any rights over the Partner's own content, branding or methodology.
8. Content
8.1 The Partner retains ownership of content it creates and publishes through its channel. By publishing content on the App, the Partner grants Licensor a non-exclusive, royalty-free licence to host, display and distribute that content to channel members. This licence terminates upon the expiry or termination of these Terms, except to the extent that Licensor has already distributed content to channel members or used it in accordance with clause 8.2 prior to termination.
8.2 Licensor may use anonymised or aggregated content for newsletters, promotional materials and case studies in accordance with the DPA. Such use shall cease within 12 months of the termination of these Terms, except where the content has already been published in a fixed-format or recording prior to termination, in which case Licensor is not obliged to withdraw or amend that existing material.
8.3 Licensor reserves the right to remove any content that, in its reasonable opinion, violates these Terms, the Statement of Faith, or the App's terms of service.
9. Term and Termination
9.1 These Terms remain in force for as long as the Partner operates a channel on the App.
9.2 Either party may end the partner relationship by giving not less than 30 days' prior written notice.
9.3 Licensor may suspend or terminate the Partner's channel immediately if the Partner breaches these Terms, the DPA, the App's terms of service, or the Community Ground Rules, or if Licensor reasonably believes the App is being used for unlawful or harmful purposes.
9.4 Upon termination, the Partner's channel will be deactivated and access to channel data will cease, subject to the data retention provisions in the DPA.
10. Liability
10.1 Licensor's total aggregate liability to the Partner under or in connection with these Terms, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the greater of: (a) the total fees paid by the Partner to Licensor in the 12 months preceding the event giving rise to the claim; or (b) USD 500 where no fees have been paid.
10.2 Nothing in these Terms limits or excludes either party's liability for fraud, wilful misconduct, or any other liability that cannot lawfully be limited or excluded.
10.3 The Partner shall indemnify Licensor against any losses, claims or costs arising from the Partner's breach of these Terms or misuse of the App.
11. Changes to These Terms
11.1 Licensor may update these Terms from time to time. Partners will be notified of material changes with at least 30 days' notice. Continued use of the App after that notice period constitutes acceptance of the updated Terms.
12. Governing Law
12.1 These Terms are governed by the laws of the State of Delaware, United States. Each party submits to the exclusive jurisdiction of the state and federal courts of Delaware.
13. Severability
13.1 If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
14. Interpretation
14.1 If any provision of these Terms requires judicial interpretation, these Terms are not to be more strictly construed against one party than the other.
15. Execution
15.1 These Terms may be accepted by electronic means, including by clicking an "I accept" button, by digital signature, or by any other E-Sign compliant electronic method, and shall have the same effect as if signed by hand.
16. Entire Agreement
16.1 These Terms, together with the DPA, the Statement of Faith and the Community Ground Rules, constitute the entire agreement between the parties on the subject hereof and supersede all prior or contemporaneous agreements, negotiations, representations and proposals, written or oral. By accepting these Terms, the Partner acknowledges that it has reviewed these Terms and shall be legally bound by them. Each party represents and warrants that it has obtained any and all necessary corporate authorisations to enter into these Terms and that they are accepted by a person with the authority to legally bind the party.
